TERMS AND CONDITIONS FOR PROMISE ONLINE LOAN APPLICATION AND LOAN AGREEMENT SIGNING SERVICE

These Terms and Conditions govern the respective rights and obligations of the Customer and Promise (Hong Kong) Co., Limited ("Promise") in connection with the use of the Online Loan Application, Loan Agreement Signing and Loan Withdrawal Service (collectively "Service"). By requesting or using or attempting to use the Service, the Customer shall be deemed to have accepted and will be bound by these Terms and Conditions.

1. Customer's Confirmation of Eligibility
   The Customer confirms that he/she is:
   1. the applicant in respect of the loan application made pursuant to the Service;
   2. registered by Promise to use the Service; and
   3. responsible for providing, operating and maintaining all devices (including but not limited to a computer, mobile device or any other telecommunication equipment) collectively with all software and other hardware (collectively "Customer's Device") required to access and operate the Service and that he/she shall at his/her own cost and expense ensure that his/her Customer's Device is at all relevant times compatible with and properly connected to Promise's systems for the purposes of accessing and operating the Service
2. Limitations of Internet Technology
   1. The Customer accepts that the Internet is a new and rapidly advancing technology. Accordingly:
      1. the Service may not meet all the Customer's requirements or expectations;
      2. the features or functionality of the Service may from time to time not be available either wholly or partially or be varied;
      3. the Service's operation may be subject to interruptions and/or require periodic modifications and improvements;
      4. Promise may set (and from time to time revise) limitations on the loan limit of the Service and/or may set user requirements; and
      5. use of the Service may be restricted by the type, specification and/or configuration of the Customer's Device.
   2. Communication by the Internet may be affected by factors beyond Promise's reasonable control, including but not limited to a breakdown or failure of communication facilities, inherent technological deficiencies, network traffic congestion or any blockage, interruption, delay, corruption or interception of any communications. The Customer acknowledges and agrees that the above factors may cause the following to happen:
      1. failure or delay in the Service or in Promise's receipt of instructions; and/or
      2. failure or delay in the execution or implementation of the Customer's instructions;
      The Customer further acknowledges and agrees that there is a risk of interception of instructions as well as errors in any communication of instructions sent through the Service and it is not possible to cancel an instruction after it has been given.
   3. Promise shall not be liable to the Customer for any incompleteness, unavailability, failure, interruption, suspension or delay in the Service (including but not limited to the transmission of any alerts or notifications or in receipt or execution of any instructions) due to any factors not under the Promise's reasonable control, including but not limited to those referred to in paragraph 2.1 above.
3. Access Codes and Other Passwords
   1. Access to the Service will require the use of an individual loan reference number and one-time password (collectively "Access Codes"). The Customer's Access Codes will be dispatched by Promise via SMS, at the Customer's risk, to the Customer's last mobile number registered with Promise. The Customer must ensure the mobile phone SMS receiving function on the relevant Customer's Device is workable.
   2. The Customer acknowledges, accepts and agrees that any person who gains access to or acquires knowledge of his/her Access Codes will be able to access the Service and give instructions to Promise in respect of the Customer's account, including but not limited to making loan applications, loan agreement signing and loan withdrawal instructions (collectively "Instructions"). The Customer must take appropriate measures to safeguard his/her Access Codes, including but not limited to those suggested in paragraph 7 below. The Customer agrees to indemnify and hold Promise harmless from and against any loss, damage or liability that Promise may suffer or incur if any person other than the Customer acquires knowledge of the Customer's Access Codes. Promise will not be responsible for any losses arising out of any unauthorised transactions resulting from any person other than the Customer having knowledge of the Customer's Access Codes or giving any Instructions.
   3. The Customer recognizes that the Customer's mobile service provider may not allow the Customer to receive the one-time password via SMS if the Customer is abroad or using an overseas mobile service network. In addition, service charges may be levied by the service provider for receiving the one-time password and other password (if any). Promise will not be liable for any such charges levied by the service provider or any other party.
   4. Delivery of the Access Codes via SMS may be subject to delayed transmission due to the traffic over the mobile service network of the Customer's mobile service provider. Promise will not be liable for any loss or liability arising out of any interruption or delays due to any failure of the mobile service network.
   5. Any SMS message sent by Promise is one-way and the Customer should not reply to such SMS message.
4. Customer's Obligations
   The Customer agrees at all times:
   1. to use the appropriate equipment or device (including Customer's Device) and have access to appropriate network connectivity (as determined by Promise from time to time) in order to access, operate and otherwise use the Service;
   2. not to disclose or permit any other person to obtain the Customer's Access Codes or otherwise to gain access to the Customer's account(s) through the Service;
   3. to ensure that no other person has unauthorised access to the Service (whether by use of the Customer's Device, Customer's Access Codes or otherwise) and, without limitation, will ensure that no other person has access to any password or other authentication required to obtain such access;
   4. not to use or attempt to access, operate or otherwise use the Service for any purpose other than that for which it is intended;
   5. not, and will not attempt to, reverse engineer, decompile, disassemble or otherwise tamper with the Service or any systems or software operated by or on behalf of Promise, or assist or permit anyone else to do so;
   6. to immediately report to Promise by phone any loss or unauthorised disclosure of his/her Access Codes; and
   7. to notify Promise in writing as soon as practicable if the Customer receives an acknowledgement (whether by hard copy or by electronic or verbal means) of a transaction which the Customer has not authorised or if there is inconsistency with any Instructions.
5. Giving Instructions
   1. Upon actual receipt of an Instruction, Promise will act on such Instruction, subject always to the following:
      1. without prejudice to paragraph 6.1 below, Promise may, if it sees fit, take reasonable steps to authenticate any Instruction by checking any one or more of the Customer's Access Codes, but shall not be obliged to carry out any authentication or other steps;
      2. Promise shall be entitled (but not bound) to give effect to any Instruction received, in such terms as received; and Promise's record of any Instruction shall (unless there is an obvious error) be final and binding; and
      3. Promise reserves the right to act upon and/or implement an Instruction on the next working day following receipt thereof.
   2. The Customer undertakes to confirm any Instruction as soon as possible upon request by Promise, in writing if so required by Promise.
6. Loan Agreement Signing and Loan Withdrawal
   1. Once given, a loan agreement signing and loan withdrawal Instruction may not be amended, cancelled or withdrawn. All Instructions shall be binding on the Customer immediately upon being sent. Promise shall have no obligation or duty to verify the authenticity of any Instruction or the identity or authority of any person giving any Instruction.
   2. The Customer must notify Promise in writing of any wrong or inaccurate details or information set out in the loan agreement, otherwise such details shall be deemed to be true and correct. The signing of a loan agreement shall be conclusive evidence as against the Customer that he/she has authorised, ratified and confirmed, and agrees to all, the terms of the same.
   3. The loan agreement and the relevant documents attached thereto (collectively "Agreement Set") can be saved through the Service. The Customer is strongly advised to save a copy of the Agreement Set for future reference. The Customer may request Promise to send the Agreement Set to the e-mail address designated by the Customer. If the Customer does request Promise to send the Agreement Set to him/her by e-mail, Promise will do so as soon as practicable.
   4. If the Customer requests Promise to send the Agreement Set to the e-mail address which is designated by the Customer, the Agreement Set will be protected with a password. The password will be dispatched via SMS by Promise to the Customer's latest registered mobile number and such SMS will only be sent to the Customer once. If the Customer deletes the SMS message sent by Promise, it cannot be sent again. The Customer shall bear all the risk of receiving the Agreement Set via e-mail.
   5. Any SMS message and/or e-mail sent by Promise is one-way and the Customer should not reply to such SMS message and/or e-mail.
7. Customer's Responsibility for Security
   The Customer accepts full responsibility for the security of the Access Codes, the Customer's Device and access to, operation and other use of the Service and agrees to act prudently and in good faith, including (but not limited to) taking the following security measures:
   1. not accessing the Service with a Customer's Device which has been infected with malware or has been tampered with to the extent that such tampering may cause or increase the chance of information being stolen from or malware being downloaded to the Customer's Device;
   2. not downloading or installing any freeware, software or applications from or accessing any suspicious or untrustworthy websites;
   3. ensuring that access to, operation of and other usage of the Service is through the genuine website of Promise;
   4. only accessing, operating and otherwise using the Service by inputting valid Access Codes and, where appropriate, by pre-registering in accordance with procedures prescribed by Promise from time to time;
   5. at all times keeping his/her Access Codes secret and not disclosing it to any other person or writing it down or recording it in a manner that could result in its disclosure to or misuse by any other person;
   6. preventing unauthorised access to the Customer's Device when accessing, operating and otherwise using the Service through the Customer's Device;
   7. not permitting any Customer's Device used for the purpose of receiving one-time passwords to come into the possession or control of any other person; and
   8. notifying Promise immediately by phone at 3199 1199 if the Customer's Access Codes are disclosed to any other person or there is any actual or suspected misuse of the Customer's Access Codes, the one-time password or any Customer's Device.
   The Customer understands, agrees and accepts that any person who possesses, knows or is allowed to find out the Access Codes will be able to make loan applications, sign loan agreements and effect loan withdrawals in respect of the Customer's account and that Promise will not be responsible for any losses or liability that the Customer suffers or incurs in relation thereto not caused by Promise's negligence, willful default or fraud.
8. Service Availability and Termination
   1. Promise reserves the right, at any time and from time to time without giving notice or reason, to vary, change, update, restrict, suspend, withdraw or terminate the Service.
   2. Promise will not assume any liabilities or responsibilities for any variation, change, update, restriction, suspension, withdrawal or termination of the Service or any of its feature or functionality.
